These terms govern use of the platform and all services provided by Pal Tech AG (consulting, solutions, training, memberships).
1. Scope
These terms apply to all contracts and services between Pal Tech AG and its customers. Conflicting customer terms apply only if expressly confirmed in writing.
2. Services and contract formation
Consulting and solution projects are agreed on the basis of a quote. Training and memberships are concluded upon successful booking and payment. Unless stated otherwise, prices exclude VAT.
3. Intellectual property
All rights in Pal Tech's proprietary pre-engineered SAP execution methodologies, software add-on frameworks, configuration blueprints, test scripts, guides, training content and tool dashboards remain exclusively with Pal Tech AG or its licensors.
The customer receives a non-exclusive, non-transferable right of use for the agreed purpose and term. Any further use requires prior written consent.
4. No replication or distribution
Unauthorised replication, publication, distribution, resale, decompilation or reproduction of training content, solution components, methodologies and tool dashboards is strictly prohibited. This includes recording live sessions and sharing access credentials. In case of breach, Pal Tech reserves the right to revoke access, seek injunctive relief and damages, and take further legal action.
5. Membership and access
Access is personal and must not be shared. Memberships renew or end according to the model selected at purchase. Access may be suspended for breach of these terms.
6. Customer cooperation
The customer provides the information, system access and contacts required for delivery in good time.
7. Liability
Pal Tech is liable for intent and gross negligence. To the extent permitted by law, liability for slight negligence, indirect damages and lost profit is excluded. Responsibility for productive use in customer systems remains with the customer.
8. Confidentiality and data protection
Both parties treat confidential information as confidential. Personal data is processed in accordance with our Privacy Policy.
9. Governing law and jurisdiction
Swiss law applies, excluding conflict-of-law rules and the CISG. The place of jurisdiction is Zurich, unless mandatory law provides otherwise.
